1. General

1.1. The AdClicks service is owned and operated by RewardsCentral Australia Pty Ltd ABN 26 119 988 519 (referred to hereafter as 'AdClicks', 'RewardsCentral', 'we', 'us' or 'our').

1.2. Your use of the AdClicks service is conditional upon your express agreement to, acceptance of and compliance with these Terms of Service, as well as agreement to and compliance with other terms, conditions, notices and disclaimers contained elsewhere on this web site. The submission of the AdClicks sign up application constitutes your acceptance of these Terms of Service.

1.3. We reserve the right to vary these Terms of Service at any time without notice. Because as a user of the service you will continue to be bound by these Terms of Service, you should periodically refer to them here to review any changes.

1.4. We reserve the right to amend the format and nature of advertising methods and features at anytime. We will endeavour to notify you of any such amendments.

1.5. After you sign up to the AdClicks service, your account must be approved by us before your advertising can be displayed.

1.6. The advertising service provided by AdClicks is the display of text-based advertisements to users of the RewardsCentral.com.au website. RewardsCentral website users are incentivised to click on your advertisements in exchange for reward points. You pay a fee for each website user that clicks their mouse on the link within your advertisement each day.

1.7. You must select a category to display each advertisement in. We reserve the right to change the category selected for each advertisement.

1.8. All prices are exclusive of GST.


2. Acceptable Advertising

2.1. We reserve the right to reject any advertising at any time and for any reason.

2.2. If your advertising is rejected, the advertisement will be removed from the RewardsCentral website. You then have the option to either amend the advertisement so that it meets our guidelines for acceptable advertising, or to request a refund for unused deposited funds as per item 3 below.

2.3. General guidelines for what we deem to be acceptable advertising:

2.3.1. Your advertisement must link to a website with:

  1. a professional design and layout;
  2. logical navigation and user-friendly functionality;
  3. no missing images or broken links;
  4. company and contact information clearly displayed. Required information includes company name, A.B.N., an email address or electronic contact form, and either a telephone number or postal address.

2.3.2. You must not advertise:

  1. a money making opportunity, business opportunity, or multi-level marketing scheme;
  2. online gambling (except horse racing or sports betting);
  3. a website with any material or content that is obscene, vulgar, indecent, sexually-orientated, pornographic, abusive, hateful, or threatening;
  4. tobacco;
  5. any financial service that is not a registered and licensed financial service provider;
  6. a competitor of RewardsCentral or its parents or subsidiaries, or a website that promotes a competitor of RewardsCentral or its parents or subsidiaries;
  7. a website, competition, product, or service that is not available for entry or use by an Australian resident.

2.3.3. Your advertisement must not contain:

  1. any wording that is obscene, vulgar, indecent, sexually-orientated, abusive, hateful, or threatening;
  2. the brand name or trademark of any other company or organisation.

2.4. The AdClicks system allows you to setup your advertisement with a click URL (the URL the user is directed to when they click the advertisement) which may be different to the display URL (the URL displayed in the advertisement). This system is designed so that you may use a tracking system to track clicks, or so that you can link users to a page deep within your web site with a long URL, while displaying only the domain portion of the URL in your advertisement. The display URL in your advertisement must match the top level domain name of the web site that is the final destination of any redirects after a user clicks on the click URL. The display URL must not mislead users about what web site they will ultimately be viewing by clicking on your advertisement.


3. Deposits & Refunds

3.1. A refund is only available where we have rejected or cancelled your advertising at our discretion. A refund is not available if you choose to cancel your advertising or close your account for any reason.

3.2. Only unused funds in your prepaid account are available for refund. Funds that have been exhausted for the payment of advertising services delivered are not available for refund.

3.3. In item 3.3. below, "free credit" refers to any funds applied to your prepaid account additional to funds deposited by you, including as part of a signup bonus, incentive or promotion.

3.4. Only funds deposited by you are available for refund. Free credit funds applied to your account are not available for refund. Furthermore, if you request a refund of unused funds, all unused free credit funds are forfeited and revoked immediately and as such are no longer available for the payment of advertising services.

3.5. Where your prepaid account consists of both deposited funds and free credit funds, your deposited funds are always used towards payment for advertising services first. As an example, you deposit $100 and receive an additional $20 free bonus credit because of a special promotion. You set up an advertising campaign and $50 of advertising is delivered to you. If you then request a refund of deposited money, only $50 is available for refund and the unused $20 free credit is immediately forfeited and revoked.

3.6. For all refunds an administration fee of $10 plus 3% of the total refund amount will be charged. This administration fee will be deducted from the amount of the refund.


4. Errors

4.1. Sometimes an error on the part of you or a computer or network error may prevent a user that clicks on your advertisement from seeing your website. In such event we are not responsible for the error and the click is still counted as being delivered, and payment for that click is still deducted from your prepaid account.

4.2. For the purposes of tracking the delivery of clicks and tracking the cost of advertising services provided, the AdClicks tracking system overrides any tracking by you through your website or a third-party click tracking system.

4.3. We will not be liable for any costs, expenses or damages directly or indirectly arising from failure to display your advertisement or for display of your advertisement in a position or content different to or at a time different to that requested by you.


5. Cost Per Click

5.1. You must indicate on the AdClicks "create ad" website form the cost per click that you are willing to pay.

5.2. Once the advertising is displayed the cost per click is deducted from your prepaid account once per day for each user of the RewardsCentral website that clicks on the link in your advertisement.

5.3. You acknowledge that your advertisement is displayed on the RewardsCentral website with other advertisements in an order according to the cost per click payable. Advertisements with a higher cost per click will be displayed closer to the top of the web page, and are therefore likely to receive more clicks in a given period of time.

5.4. We make no guarantee as to the quantity of clicks that will be delivered in any given period of time, as it is dependent on the cost per click you are willing to pay.

5.5. We reserve the right to charge a minimum cost per click of 5 cents per click to you if in our opinion your web site appears to operate as a traffic aggregator. We define a "traffic aggregator" as a web site where the primary content is paid advertising links or banners and the primary aim of the web site is for users to view and click on those advertisements, thereby earning the web site owner a monetary reward for every user that views or clicks each advertisement. We do not consider a web site to be a traffic aggregator if the primary aim of the web site is the provision of real and valuable content for free and the display of paid advertising is a secondary concern.


6. Severability

6.1. If any part of these Terms of Service is or becomes illegal, invalid or unenforceable, it shall not affect the validity or enforceability of any other part or provision of these Terms of Service.
